Notices for Advance Registration of Name of Foreign Invested Enterprise

The foreign invested enterprise should apply for advance registration after the approval of proposal of project and feasibility study report and before the signing of contract and articles of association.

1.Requirements for advance registration of enterprise name.

1) Chinese characters up to the state standards should be applied to name of enterprise, and no foreign letters, Bopomofos, or Arabic numeral figures are allowed to be used.

2) Name of enterprise should be comprised of the following factors: name of administrative district, name of the enterprise (or firm), industrial or operational characteristics, and form of organization.

Name of enterprise shall not be the same with or similar to registered enterprise of the same trade under the jurisdiction of the competent registration authorities.

Character number in name of enterprise should be comprised of more than 2 characters.

Terms featuring industry of national economy that the corporate economic operation belongs to and corporate management should be applied to the industrial description in enterprise name.

3) Name of enterprise shall be approved by the State Administration of Industry and Commerce or local Administration of Industry and Commerce authorized by it for approval of registration of foreign invested enterprises. Name of enterprise titled with the name of administrative district of “Xinjiang” should be approved by Administration of Industry and Commerce of Xinjiang Uygur Autonomous Region; those registered at Administration of Industry and Commerce of the Autonomous Region but titled with the administrative district of prefecture, municipality, or county should be preliminarily reviewed by local Administration of Industry and Commerce, and then submitted to Administration of Industry and Commerce of the Autonomous Region for approval.

4) After the approval and registration of name of enterprise, Advice Note for Advanced Approval Registration of Name of Foreign Invested Enterprise with a preservation period of 6 months will be issued. And name of enterprise shall not be used for operational activities or assignment within the preservation period.

5) The enterprise enjoys name right after establishment.

2. Documents needed for advanced registration of name of foreign invested enterprise:

1) Approving document for proposed task of project and feasibility study report;

2) Application for advanced registration of name of enterprise signed by all investors, which should bear name (or optional names), address, scope of business, and registered capital (registered fund) of the enterprise to be established, and name and invested amount of investors.

3)Certificates for nominated representative or authorized agent signed by all investors;

4) Qualification certificate for representative or agent.

5)Qualification certificates for all investors;

6) Other documents demanded by the Administration of Industry and Commerce.
