Information necessary for the registration of non-corporate enterprises or institutions

1. Branch institutions of foreign-invested enterprise, including branch institutions of operation nature and branch institutions of liaison nature, shall be established by the foreign-invested enterprise through application to competent authority. The branch institutions are not qualified with corporate capacity and their civil liability shall be assumed by the foreign-invested enterprise.

The following documents are required for the registration application of branch institutions of foreign-invested enterprise: 

1) Written application of the foreign-invested enterprise;

2) Registration application form of branch institutions of foreign-invested enterprise:

3) Notice concerning registration of the branch institution sent by the original registration authority of the foreign-invested enterprise to the registration authority of the branch institution location;

4) Decision of directors board of the foreign-invested enterprise;

5) Written appointment and ID certificate of person in charge of the branch institutions; 

6) Registration form of head of the foreign-invested enterprise;  

7) Certificate for use of site;

8) Duplicated copy of counterpart of business license of the foreign-invested enterprise (with seal of the original registration authority); 

9) Other materials needed. 

2. The following documents are required for the registration application of foreign (regional) enterprise contracting projects in China: 

1) Written application (signed by its legal representative) of the foreign (regional) enterprise;

2) Registration application form of the foreign (regional) enterprise;

；3) Approval document (original) from the examination and approval authority;

4) Contract of project (the original)

5) Written appointment, ID certificate and registration form of the head of the enterprise; 

6) Legal certificate of business opening of the foreign (regional) enterprise;

7) Certificate of creditworthiness of the foreign (regional) enterprise;

8) Certificate for use of site;

9) Other materials needed.
