Content and requirement for feasibility study report


 

1. Brief description:

1) Name, legal address, purpose, business scope and scale of parties to the joint venture;

2) Names, registration country, legal address, and names of legal representatives, posts and nationality (competent authorities should be pointed out for Chinese party) of parties to the joint venture;

3) Total investment, registered capital and capital stock amount (amount of own funds, investments ratio of parties to the joint venture, forms of investment and time limit for the payment of capital stock);

4) Duration of a joint venture, ratios of parties for the distribution of profit and loss. 

5) Approval documents for project proposal;

6) General description, conclusion, problems and proposals for the feasibility study report.

2. Arrangement for production and the basis. Information about the demand home and abroad and method for market prediction, and the existing production capability and the production capability being under way at home and abroad should be given out.    

3. Arrangement for the supply of materials (including energy and transport) and the basis.

4. Choice of place of the project and the basis. 

5.  Choice of technology, equipment and technological process and its basis.  

6. Organization and arrangement for production (including the number, the composition, source of workers and operation and management) and its basis.

7. Measures for controlling environment pollution, facilities of labor safety and health, and the basis. 

8. Construction mode and arrangement for construction progress rate and the basis. 

9. Raising of funds and its basis (including the basis for calculating plant buildings and equipments as shares). 

10. Arrangement for the expenses and receipts of foreign exchange and its basis.

11. Overall analysis (including analysis for economy, technology, finance and law). For the analysis of the benefit and expenses and receipts of foreign exchange, methods such as dynamic analysis and risk analysis (or sensitivity analysis).  

12. Attachment: 

1) Copies of business licenses issued by the competent authority of the countries where the parties are based. 

2) Certificates of the legal representatives of the parties to the joint venture;

3) Balance sheets and profit and loss statements of the parties; 

4) Market research report and prediction report, and the proportion of products to be sold overseas; 

5) Written opinion of the competent authority for the arrangements of key materials (basic material, supplementary materials, parts and components, home making of components, energy and transport);

6) Written opinion of the competent authority for the arrangements of funds;

7) Written opinion of the competent authority for the arrangements of place of project;

8) Written opinion of the competent authority for the arrangements of HSE, fire control and earthquake;

9) Written opinion of the competent authority for the arrangements of expenses and receipts of foreign exchanges;

10) The preliminary examination report or evaluation report of the competent authority for the project.
